S-corp is 100% owned by Husband. Husband and Wife are the only 2 employees. Activity is consulting.

Past salaries have been approximately H - $200k and W - $40k with H taking approximately $200k in distributions.

Can the S-Corp swap salaries? The intent is to maximize retirement contributions for W.(temporarily to equalize accounts)

I see the following as possible roadblocks:
- W is not an Officer or Shareholder
- Form 1125-E would be required due to >$500k receipts. W's comp. would not be included and time devoted is < H

It would seem that W could be designated as an Officer which would then allow her salary to be included on 1125-E and it would also seem to result in the same payroll taxes being paid and same deductions for the S-Corp.

Any input appreciated.

Would making the wife an officer potentially put joint assets at risk if a corporate level (payroll) tax were unpaid? Could she be deemed a responsible party?

Hopefully, yes. " Husband and Wife are the only 2 employees."

I suppose that is possible. Their salaries are paid in fewer than six checks each with all of their payroll tax submitted right away.
